1. The Platform

Proz4u is an online marketplace and social platform that connects skilled tradespeople ("Workers") with individuals and businesses seeking their services ("Hirers"). The Platform also includes an equipment marketplace, a social feed, real-time messaging, map-based discovery, and team collaboration features.

Maplelirium Inc. ("Maplelirium", "we", "us", "our") is a technology company. We provide the Platform as a neutral venue for connections between independent parties. We are not a staffing agency, employment agency, or employer.

2. Eligibility

• You must be at least 18 years of age to create an account
• You must be legally permitted to work or engage contractors in your jurisdiction
• If registering on behalf of a business, you must have authority to bind that business
• You must provide accurate and complete information at registration and keep it current
• Accounts are personal and non-transferable

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@proz4u.com of any unauthorised use.

We reserve the right to suspend or terminate accounts that violate these Terms, post false information, engage in fraudulent activity, or otherwise harm the Platform or its users.

4. Independent Contractor Relationship

4.1 Platform Role

Proz4u facilitates introductions and communications between independent Workers and Hirers. Maplelirium does not employ Workers, does not control how Workers perform their services, and does not guarantee availability or engagement.

4.2 Worker Status

Workers are independent contractors, not employees, agents, or partners of Maplelirium. Workers:

• Set their own rates. Proz4u may display suggested rate ranges for information only — these are not binding, required, or enforced by Maplelirium
• Retain full control over when, where, and how they perform their services
• Are free to work for other clients, including competitors of any Hirer
• Are responsible for their own taxes, insurance, tools, and legal compliance
• Are not entitled to employee benefits, workers' compensation, or employment insurance from Maplelirium

4.3 Hirer Responsibilities

Hirers are responsible for compliance with applicable employment, tax, and health and safety laws when engaging Workers, and for determining the appropriate legal classification of their relationship with any Worker they engage.

4.4 No Liability for Work Quality

Maplelirium is not a party to any agreement between a Worker and a Hirer and accepts no liability for the quality, safety, legality, or outcome of any services arranged through the Platform.

5. Team Collaboration

Workers may form voluntary Teams with other Workers. Teams are informal associations of independent contractors and do not constitute partnerships, joint ventures, or employment relationships. Each Team member retains independent contractor status. Maplelirium is not responsible for agreements, revenue sharing, disputes, or liabilities between Team members.

6. Payments and Fees

6.1 Stripe Connect

Marketplace payments are processed using Stripe Connect (Direct Charge architecture). Funds flow directly into the seller's Stripe Connected Account. Maplelirium collects a platform fee via Stripe's application_fee_amount mechanism. The platform fee is displayed transparently to the buyer before payment confirmation.

6.2 Platform Fees

The current platform fee for marketplace transactions is 10% of the transaction amount. Fee rates may change with 30 days' notice. See our pricing page for current rates.

6.3 Worker Onboarding

Workers must complete Stripe Connect onboarding (identity verification and bank account setup) before receiving payments. Maplelirium does not store banking information. Workers are subject to Stripe's Terms of Service.

6.4 Refunds

All sales are final unless the item is materially different from its description. Buyers must raise disputes within 7 days of receipt. Maplelirium may, at its sole discretion, facilitate refunds in cases of clear fraud but is not obligated to do so.

6.5 Taxes

Workers are solely responsible for reporting and remitting applicable taxes on income earned through the Platform. Hirers may have reporting obligations and should seek independent tax advice.

7. User Conduct

You agree not to use the Platform to:

• Post false, misleading, or fraudulent information
• Impersonate any person or entity
• Harass, threaten, or intimidate other users
• Post content that is discriminatory, defamatory, obscene, or unlawful
• Circumvent Platform fees by taking transactions off-platform after initial contact
• Use automated tools, bots, or scrapers to access the Platform
• Interfere with the security or integrity of the Platform
• Infringe any third-party intellectual property rights
• Violate applicable law, including employment law or anti-spam legislation

8. Content

8.1 Your Content

You retain ownership of content you post. By posting, you grant Maplelirium a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute your content solely for operating and promoting the Platform.

8.2 Content Standards

All content must be accurate, lawful, and not infringe third-party rights. Profile photos must be a genuine likeness. Portfolio photos must represent work you personally performed.

8.3 Content Moderation

We may remove content that violates these Terms. Users may report content using the in-app reporting feature. Repeated violations may result in account suspension or termination.

8.4 Reviews

Proz4u uses a blind review system: reviews publish only after both parties submit. Reviews must be honest and based on genuine first-hand experience. Fake or incentivised reviews are prohibited and may result in account termination.

9. Verified Badges

Verification badges are provided for informational purposes only. Maplelirium does not guarantee the accuracy of third-party credentials. Hirers must conduct their own due diligence before engaging any Worker. Maplelirium accepts no liability arising from reliance on verified badges.

10. Location Services

The map discovery feature is entirely optional. By enabling "Appear on map", you consent to your precise location being temporarily shared with authenticated users for up to 4 hours. You may disable this at any time. See our Privacy Policy for full details.

11. Intellectual Property

The Proz4u name, logo, design, and all Platform software are the property of Maplelirium Inc. and are protected by Canadian and international intellectual property law. You may not use our trademarks or reproduce our software without prior written consent.

12. Third-Party Services

The Platform integrates with Stripe (payments), Google Maps (location), Firebase (notifications), and Supabase (infrastructure). Your use of these is also subject to the respective third parties' terms. Maplelirium is not responsible for third-party practices.

13. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by law, Maplelirium disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Maplelirium does not warrant that the Platform will be uninterrupted or error-free, or that any content on the Platform is accurate or reliable.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Maplelirium shall not be liable for any indirect, incidental, special, consequential, or punitive damages. To the extent Maplelirium has any liability, it shall be limited to the greater of: (a) fees paid by you to Maplelirium in the 12 months preceding the claim; or (b) CAD $100.

Some jurisdictions do not allow certain liability limitations. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Maplelirium Inc. and its directors, officers, employees, and agents from and against claims, liabilities, damages, and expenses arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of applicable law; (d) any services performed or received through the Platform; or (e) any dispute between you and another user.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

16.2 Informal Resolution

Before commencing legal proceedings, contact us at support@proz4u.com. We will attempt to resolve disputes informally within 30 days.

16.3 Arbitration

Unresolved disputes shall be finally resolved by binding arbitration administered by the ADR Institute of Canada under its National Arbitration Rules. Place of arbitration: Toronto, Ontario. Language: English.

16.4 Class Action Waiver

To the fullest extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Maplelirium.

17. Termination

Either party may terminate at any time. Delete your account via Settings → Account → Delete Account. Maplelirium may suspend or terminate your account immediately for violations of these Terms, fraudulent activity, or as required by law. Sections 4, 6, 8.1, 11, 13, 14, 15, and 16 survive termination.

18. Changes to These Terms

We will notify you of material changes at proz4u.com/terms and through the Platform at least 30 days before changes take effect. Continued use after the effective date constitutes acceptance.

19. General

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement regarding the Platform
• Severability: If any provision is unenforceable, remaining provisions continue in full effect
• Waiver: Failure to enforce a provision does not waive our right to enforce it in future
• Assignment: You may not assign your rights without our written consent. We may assign without restriction.
• Language: In the event of conflict between the English version and a translation, the English version prevails
